Awakenings Studio Terms of Use

Awakenings leases to Tenant use of the Awakenings Studio located at 1016 SE 12th Ave, Portland, OR 97214 during the dates and times stipulated on the invoice for which Tenant will pay a fee and abide by our Studio Procedures and the following Terms and Conditions

1. Payment and Termination: Unless otherwise stipulated on the invoice, for event fees under $150, Tenant will pay entire fee to reserve the space, and for event fees $150 or over, Tenant will pay 30% of the fee to secure this reservation and the remaining balance at least 30 days prior to the event (unless the event is less than 30 days out as of the making of this agreement, in which case the entire balance is due to secure the reservation). If the reservation is for an ongoing series, Tenant shall pay the deposit designated on the invoice to secure the reservation and pay the stipulated amount monthly during the course of the series. This agreement may be canceled with written notice. If notice is provided at least 30 days before the event, the rental fee will be returned minus thirty percent (30%) of the total rental price. The rental fee(s) shall be paid in person, by electronic payment, or mailed to 1016 SE 12th Avenue, Portland, OR 97214 in the form of a personal or cashier’s check or money order made to “Awakenings.” 

2. Insurance and Indemnity: Tenant hereby indemnifies Awakenings from liability arising from Tenant’s use of the premises. Tenant does not indemnify Awakenings from liability related to general conditions of space or ground. If Tenant carries insurance, Tenant shall name Awakenings as additional insured on their insurance policy. Tenant and Awakenings shall comply with all municipal, state and federal statutes, ordinances and requirements in place now or in the future, regarding use of the property.

3. Courtesy to Therapists: Tenant understands that Awakenings is a wellness community with active sessions throughout the week and weekends. To reduce impacts on clients, Tenant shall ask participants to limit their activity to the studio and the nearest bathroom.

4. Use and Upkeep of Premises: Tenant understands the kitchen is available for all community members and that therapists and clients use that space. Tenant will limit use of the kitchen and keep food and drink in the studio. Tenant shall maintain the kitchen and studio in good condition at all times and shall clean any mess created by tenant in the studio and kitchen to the condition in which they were found. 

5. Access Hours and Commitment to Vacate: Unless otherwise stipulated, tenant may have access to the event space 15 minutes before their start time in order to set up and commits to being out of the event space (and the space cleaned to the condition Tenant found it) for the next user no later than 15 minutes after the end of their agreed time, unless otherwise stated on the invoice. 

6. Disputes: In case of dispute, the parties agree to mediation by a third party agreeable to both. If not possible, parties waive the right to trial by jury and agree to submit to the personal jurisdiction and venue of a court of subject matter jurisdiction located in Multnomah County, Oregon. No action may be brought if more than one year after the cause of action giving rise thereto has elapsed. The prevailing party in any action brought for the recovery of rent, possession of premises or for damages to premises shall be awarded costs in connection therewith, including by not limited to reasonable attorney’s fees. 

7. Severability: If any provision of this Agreement is deemed null and void, such determination will not impact any other provision of this Agreement, and the remainder will remain in full force and effect. 

8. Additional Terms. Other than abiding by our Studio Procedures, any additional terms for this reservation shall be listed on the invoice.
